1. Agreement to these Terms

These Terms of Service ("Terms") govern your access to and use of websites, software, and related services operated by Expert Puffin Ltd("Expert Puffin", "we", "us" or "our"), including Resto Loop (C-ROS), our Ed-Tech ecosystem, consumer applications, artificial intelligence features, APIs, documentation, and bespoke engineering engagements (together, the "Services").

By accessing or using the Services, requesting a demonstration, or entering into an order form or statement of work with us, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm you have authority to bind that organisation. If you do not agree, do not use the Services.

Privacy practices are described in our Privacy & GDPR Policy.

2. Who we are

Expert Puffin Ltd is a UK company based in London that designs and operates digital ecosystems for hospitality, education, consumer lifestyle, and enterprise clients. Contact: info@expertpuffin.com.

3. Eligibility and accounts

  • You must have legal capacity to enter a binding contract and, where applicable, authority to act for your business.
  • You are responsible for keeping login credentials confidential and for activity under your accounts.
  • You must provide accurate registration and billing information and update it when it changes.
  • We may suspend or terminate accounts that are inaccurate, abusive, or used in breach of these Terms.

4. The Services

Depending on your agreement, Services may include:

  • Resto Loop (C-ROS): restaurant operating software — supplier ordering, digital menus, reservations, online ordering, stock management, POS/fintech connectivity, IoT quality control, and related modules
  • Ed-Tech (Project Expert Puffin): licensed learning platforms, AI-assisted tools, and publisher content under applicable licences
  • Consumer & lifestyle applications: including location-based matching products where offered
  • Bespoke solutions: custom software, health applications, and dedicated AI / integration work

Features may change over time. Module availability, SLAs, and commercial terms are defined in your order form, subscription plan, or statement of work. We are not a payment institution; payment processing is performed by licensed partners you enable (for example Dojo, Stripe, or Adyen).

5. Customer responsibilities

You agree to:

  • Use the Services only for lawful business purposes and in compliance with all applicable laws (including food safety, allergen information, consumer, employment, and tax rules)
  • Ensure menus, prices, allergen data, stock, hours, and marketing content are accurate and up to date
  • Obtain all rights and consents needed to upload customer, staff, student, or supplier data into the Services
  • Provide your own privacy notice to end users (guests, students, staff) where you are the data controller
  • Not reverse engineer, overload, abuse, or attempt to gain unauthorised access to the Services
  • Not use the Services to transmit malware, unlawful content, or infringing material

6. Acceptable use — AI and automation

Where AI features are enabled (e.g. upselling suggestions, allergen prompts, tutoring, moderation), outputs are assistive and may be imperfect. You remain responsible for reviewing critical decisions — especially allergen, safety, pricing, and educational outcomes — before relying on automated suggestions.

7. Intellectual property

  • Our IP: Expert Puffin and its licensors own the Services, software, branding, documentation, and underlying technology. We grant you a limited, non-exclusive, non-transferable licence to use the Services as agreed for your internal business operations.
  • Your content:you retain ownership of menus, recipes, branding, catalogues, and other materials you submit ("Customer Content"). You grant us a licence to host, process, display, and transmit Customer Content solely to provide and improve the Services.
  • Third-party / publisher content: Ed-Tech and integrated partner materials remain subject to their own licences. You must not redistribute licensed content beyond the permitted scope.
  • Feedback you provide may be used by us without obligation to you.

8. Fees, billing, and taxes

  • Fees, billing cycles, and payment methods are set out in your order form or online plan.
  • Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for VAT and similar taxes.
  • Late or failed payments may result in suspension. Chargebacks or unpaid balances may be referred for collection.
  • Transaction fees charged by payment processors or delivery platforms are separate and governed by those providers' terms.

9. Third-party services and integrations

The Services may connect to third-party products (delivery marketplaces, payment terminals, accounting tools, IoT devices, messaging providers, or publisher platforms). Those services are provided by third parties under their own terms. Expert Puffin is not responsible for third-party outages, fees, or policies, or for data once exported to a third party at your direction.

10. Data protection

Each party shall comply with Data Protection Laws. Where we process personal data on your behalf, we do so as a processor under your instructions and our Privacy & GDPR Policy, and — where required — a separate Data Processing Addendum. You warrant that you have a lawful basis to collect and process personal data you submit to the Services.

11. Confidentiality

Each party must keep the other's non-public business, technical, and commercial information confidential and use it only to perform under these Terms, except where disclosure is required by law or the information is public through no fault of the receiving party.

12. Warranties and disclaimers

We will provide the Services with reasonable skill and care. Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that the Services will meet every operational outcome (including specific labour savings or sales targets).

13. Limitation of liability

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under English law.

Subject to the above, to the maximum extent permitted by law: (a) we are not liable for indirect, consequential, incidental, special, or punitive damages, or loss of profits, revenue, goodwill, or data; and (b) our aggregate liability arising out of or relating to the Services in any twelve-month period is limited to the fees paid by you to Expert Puffin for the Services giving rise to the claim during that period (or £1,000 if greater has not been paid), unless a signed enterprise agreement states otherwise.

14. Indemnity

You will indemnify and hold harmless Expert Puffin and its officers from claims arising out of: (a) your Customer Content; (b) your use of the Services in breach of these Terms or law; (c) allergen, pricing, or consumer claims attributable to information you control; or (d) your failure to obtain required consents for personal data.

15. Suspension and termination

  • Either party may terminate as permitted in the applicable order form or for material breach not cured within a reasonable period after notice.
  • We may suspend access immediately for security risk, unpaid fees, illegal use, or threat to the platform.
  • On termination, your licence ends. We may delete or return Customer Content in accordance with the Privacy Policy and any DPA, subject to legal retention.

16. Changes to the Services or Terms

We may update the Services and these Terms. Material changes will be indicated by updating the "Last Updated" date and, where appropriate, notifying account administrators. Continued use after changes take effect constitutes acceptance, except where a signed contract requires mutual written amendment.

17. Governing law and disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, without prejudice to any mandatory consumer protections that may apply.

18. General

  • If any provision is unenforceable, the remainder remains in effect.
  • These Terms, together with your order form / SOW and any DPA, form the entire agreement and supersede prior proposals on the same subject.
  • You may not assign these Terms without our prior written consent; we may assign to an affiliate or successor.
  • Failure to enforce a provision is not a waiver.
